J.P. Morgan Chase to buy Bear Stearns for US$2 a share

WASHINGTON: Crisis-hit Bear Stearns will be bought by JP Morgan Chase for two dollars a share, company officials said. 

JPMorgan Chase announced in a statement is acquiring The Bear Stearns Companies after boards of Directors of both companies unanimously approved the transaction. 

"The transaction will be a stock-for-stock exchange. JPMorgan Chase will exchange 0.05473 shares of JPMorgan Chase common stock per one share of Bear Stearns stock. Based on the closing price of March 15, 2008, the transaction would have a value of approximately two dollars per share," the statement said. 

"Effective immediately, JPMorgan Chase is guaranteeing the trading obligations of Bear Stearns and its subsidiaries and is providing management oversight for its operations," it said. 

The deal requires shareholder approval. 

Bear Stearns, among the hardest hit by the collapse of the US sub-prime, or high-risk, mortgage market, said Friday it was getting an emergency loan from JPMorgan Chase backed by the Federal Reserve after its liquidity position had "significantly deteriorated." 

The Fed meanwhile pledged "to provide liquidity as necessary to promote the orderly functioning of the financial system," -- a statement that highlighted concerns about the credit squeeze and its wider impact on the banks. 

The Fed has poured hundreds of billions of dollars into the financial system and slashed interest rates by 2.25 percentage points since September to battle the credit crunch that is threatening the US economy with recession. 

President George W. Bush last month signed a 168-billion-US-dollar economic stimulus and the government and banks have introduced a number of initiatives to help homeowners faced with losing their homes amid tightening credit, job cuts and a slowing economy. - AFP/ac

SAN FRANCISCO (MarketWatch) -- The Federal Reserve on Sunday cut the rate on direct loans to commercial banks by a quarter-point and said it will allow primary dealers to borrow at the rate in exchange for a broad range of investment-grade collateral. In a statement, the central bank also extended the maximum term of discount-window loans to 90 days from 30 days. The Fed also OK'd the financing deal announced by J. P. Morgan Chase & Co. and Bear Stearns Cos. J. P. Morgan on Sunday agreed to buy Bear Stearns for $2 a share.

NEW YORK (MarketWatch) -- J. P. Morgan Chase & Co. reportedly has agreed to buy Bear Stearns Cos. For $2 a share in a stock-swap deal, valuing the company at just $236 million.
A story in the online edition of the Wall Street Journal Sunday evening, citing people familiar with the deal, reported J.P. Morgan will exchange 0.05473 shares of its common stock per one share of Bear Stearns stock. Both boards have approved the transaction. 

The Journal also reported that the Fed is taking the extraordinary step of providing special financing in connection with this transaction. The Fed has agreed to fund up to $30 billion of Bear Stearns' less liquid assets, according to the report. 
The report said all sides were pushing hard to complete an agreement before financial markets in Asia open for Monday trading. The Journal quoted Treasury Department spokeswoman Michele Davis as saying, "None of these things is done until they're done. But I think everyone's expectation is sometime in the early evening hopefully" the deal will be done. 

Among the issues the parties have been working to iron out is the amount of risk that J.P. Morgan would absorb in any type of transaction, according to the Journal. It reported that while J.P. Morgan is eager to snap up some of Bear Stearns assets -- such as its prime brokerage business that caters to hedge funds -- Chief Executive Officer James Dimon was reluctant to pursue the deal without certain assurances that would protect his firm's exposure, people familiar with the matter told the Journal. 
Earlier in the weekend, other suitors appeared to be vying for Bear Stearns, including J.C. Flowers & Co. and Kohlberg Kravis Roberts & Co.
